Depends what you want to do. They are comparable but not necessarily for the 
same market.

Win4Lin is lett rescource intensive, faster, and somewhat esier to use. It 
will NOT run DirectX programs (Many MS games)  but does run most legacy 
windows apps. It will even now allow you to set up v-net netwarking allowing 
you to assign a seperate IP add. for the windows session, this will allow you 
to use network neighborhood, and some of the very insecure windows mail 
programs...
Or you can set it up as I have as simple winsock net and just use the Linux 
system for that stuff. As I said less rescource intensive, I tried both 
before buying Win4Lin. The VM ware folks couldn't get my most important 
legacy app to run, the Trelos (Win4Lin) folks got it running overnight!

VMware on the other hand will allow you to run several OS's on your Linux 
box, OS2, Linux, BSD, Win98, Win95...... ect... Great if you need to support 
several different Os's. I found it to be VERY rescource hungry and slow on my 
old (PIII 550, with 256meg ram). While Win4Lin allows you to run windows, and 
win apps nearly at native performance.

Just my .02. The are many other users out there happy with both..
