ah, I found

the rm -rf ~/.gnome    method did not work,
rm -f ~/.gnome/metadata.db  did not work,
but,
I ran 'panel' from a terminal window and the panel re-appeared.  I 
logged out and checked save the current setup.
That worked, on my the next login, the panel was there.  I still don't 
know why...
